2. Yes, though the fee is semi-optional, just strongly encouraged.
You could do an upgrade that way but it seems like a really absurdly complicated way to do things, so I don't see why you would. Following the readme.html instructions running upgrade.php is a lot quicker.

I have upgraded my webserver
to PHP Version 5.2.0
Apache Version 1.3.37
Now I can not see the links after klicking on a sub-category

PHP 5.2.0 was released in November, after WSN Links 3.4.6, so 3.4.6 can't support it. The recent 4.0.x versions do.
The wsnindex matter isn't the problem you have, upgrading to new version there refers to a new WSN Links version, not PHP version.
